Terms of Service
This is a plain-English summary. Full terms are provided in the Service Agreement issued before your project begins.
Payment
- Host with Webrio: first month's fee is due as a deposit before the build begins. If the client is unsatisfied with the staged preview and cancels before written approval, 50% of the deposit is refunded.
- Design Only: 50% of the agreed once-off project fee is due as a deposit before the build begins. The remaining 50% is due immediately upon written approval of the staged preview, before files or credentials are handed over.
- Monthly retainers (Host with Webrio) are billed on the 1st of each calendar month from the go-live date.
- Invoices are payable within 7 days of issue via EFT.
Code Ownership
- On Host with Webrio plans, the website code, design assets, and hosted files remain the property of Webrio during Phase 1. Full code ownership transfers to the client upon completion of the Phase 1 minimum term or upon settlement of the applicable buyout fee. The client's domain is always registered in the client's name and remains their property regardless of service model or payment status, provided any domain registration fees paid by Webrio on the client's behalf are settled in full.
Buyout
- Host with Webrio clients may exit before the minimum term by paying a buyout fee. The buyout fee is the Design Only equivalent for the client's tier minus all monthly fees paid to date, subject to a minimum floor of 75% of the Design Only equivalent. Files and credentials are transferred within 7 business days of the full buyout amount reflecting as cleared in Webrio's nominated bank account with the correct payment reference. Proof of payment alone does not constitute confirmed payment and will not trigger handover.
Phase 2 Automatic Rollover
- Upon completion of Phase 1, the retainer automatically reduces to the applicable Phase 2 rate. No new agreement is required. Continued payment of Phase 2 invoices constitutes acceptance of Phase 2 terms. If Phase 2 invoices are not paid, the standard late payment and cancellation process applies.
Revisions
- Spelling and factual corrections are unlimited and free.
- Content revisions are included for 2 rounds, then R400 per request.
- Structural changes are charged at R750 per hour.
- All revision requests must be submitted in writing via email.
Staged Preview and Approval
- The staged preview link is private and must not be shared publicly.
- You have 7 calendar days to provide feedback or approval.
- No response in 7 days: link is removed.
- No response in 30 days: project is closed and deposit is forfeited.
- Written approval is required before the site goes live, no exceptions.
Hosting and Retainer
- Monthly retainer starts on the go-live date.
- 30 days written notice is required to cancel. See Cancellation Timeline below for the full process.
- Once the Phase 1 minimum term is complete, Phase 2 maintenance rates apply automatically. See Phase 2 Automatic Rollover above.
Cancellation Timeline
- Cancellation requires 30 days written notice via email to hello@webrio.co.za only. Verbal and non-email cancellations are non-binding and will not initiate the cancellation timeline. From the date written notice is received: Day 30: all services terminate. Domain and email credentials are transferred to the client's registered personal email address, provided any domain registration fees paid by Webrio are settled. Days 30 to 37: client may submit a written request for a data export. After day 37: no data recovery is possible. Webrio accepts no liability for data loss after day 37. Day 83: 7-day written destruction warning issued to client's personal email. Day 90: all remaining data permanently destroyed.
Late Payment
- Payment not received by the due date without prior written communication is treated as a cancellation notice effective from the due date. Prior written communication must include a specific confirmed payment date. Open-ended payment promises do not constitute valid prior written communication. A 48-hour grace period applies for genuine processing delays only.
Annual Price Increase
- Webrio reserves the right to revise retainer pricing annually by up to 10%. Clients receive 60 days written notice of any price increase. Rejection of a price increase serves as 30 days written cancellation notice. Services terminate at the end of the 30-day period. The buyout fee is waived on cancellations resulting from a price increase rejection. The standard 30-day notice period and 90-day data timeline still apply.
Domain Management
- Domains registered by Webrio remain the property of the client.
- A 5% handling fee applies to domain registration and renewal via Webrio.
- Webrio will notify the client 30 days before domain expiry.
- Domain transfers are permitted once all outstanding balances are settled.
Content and Legal Responsibility
- The client warrants ownership or valid licences for all submitted content.
- The client is legally responsible for the accuracy and legality of all published content.
- Webrio reserves the right to refuse or remove unlawful content.
- Webrio is not liable for any content supplied by the client, including images, text, or logos.
Intellectual Property
- Design Only: full ownership of the website design and code transfers to the client upon receipt of complete payment.
- Host with Webrio: code ownership is governed by the Code Ownership and Buyout clauses above.
- Webrio may display completed work in its portfolio at webrio.co.za with the client's prior written consent.
Attribution
- All Host with Webrio sites carry a Built by Webrio attribution in the site footer. This is a non-negotiable condition of the Host with Webrio model. Design Only clients receive full code ownership and may remove footer attribution after delivery.
Communication
- All instructions, requests, approvals, change requests, cancellation notices, and disputes must be submitted in writing via email to hello@webrio.co.za. Requests submitted via any other channel are non-binding and will not be actioned. Webrio reserves the right to disregard any instruction not received via email.
Third Party Infrastructure
- Webrio uses third party infrastructure providers to deliver services. Webrio is not liable for service interruptions, data loss, or failures caused by third party providers. The specific platforms used are not proactively disclosed and are available on written request.
Third Party Access
- Any changes made to Webrio-managed infrastructure by the client or any third party without Webrio's prior written approval are not covered under the retainer. Remediation of issues caused by unauthorised third party changes is billed at R750 per hour.
VAT
- All prices are quoted exclusive of VAT. Webrio is not currently registered as a VAT vendor and no VAT is applicable at this time. Should Webrio become VAT registered during the term of this agreement, VAT will be added to invoices at the applicable rate with 30 days written notice.
Currency
- All prices are quoted and payable in South African Rand (ZAR). International clients are responsible for all conversion fees and exchange rate differences. Payment must reflect in Webrio's nominated bank account in full in ZAR before work commences or services are maintained.
Limitation of Liability
- Webrio's total liability for any claim arising from or related to this agreement shall not exceed the total fees paid by the client in the 3 months immediately preceding the event giving rise to the claim. Webrio is not liable for indirect, consequential, or special damages including but not limited to loss of revenue, loss of profits, or loss of business opportunity.
Data and Export
- Upon service termination, the client has 7 days to submit a written request for an export of their data to hello@webrio.co.za. Requests must be received within 7 days of the service termination date. After this period no data recovery is possible and Webrio accepts no liability for data loss. Webrio does not proactively export or retain client data beyond its operational requirements.
Handover
- Files and credentials are released within 5 working days of the full balance reflecting as cleared in Webrio's nominated bank account with the correct payment reference. Proof of payment alone does not constitute confirmed payment and will not trigger handover.
Disputes
- Governed by South African law.
- Jurisdiction: Western Cape High Court or the applicable Magistrate's Court depending on the value of the claim.
Privacy Notice
Webrio does not collect, store, or process personal information beyond what is submitted via the contact form on this website.
Contact form submissions are routed directly to Webrio's business email via a third-party form service. Webrio does not retain copies of submissions beyond normal email storage.
Webrio is not a responsible party under POPIA in relation to personal information received and processed by its clients via their own websites. Each client is responsible for their own POPIA obligations.
